Disclosure Policy

Fundamental Policy

Our fundamental policy is to make accurate, impartial and timely disclosures to all stakeholders including shareholders and investors. Also, we will make timely and proactive disclosures of information that we consider valuable for our stakeholders, in addition to material information required to be disclosed by the Companies Act, the Financial Instruments and Exchange Act, and other relevant laws and regulations, as well as timely disclosure rules stipulated by the Tokyo Stock Exchange (TSE).

Disclosure Method

We disclose material information subject to TSE’s timely disclosure rules using the Timely Disclosure network (TDnet) provided by the TSE in accordance with the rules. In principle, we will swiftly make the information available on our corporate website. We will also disclose information that is not subject to the timely disclosure rules through news media, this website, and other means to ensure information becomes publicly available as accurately, fairly and promptly as practically possible.

Quiet Period

To avoid any leakage of information that might affect our stock price, including earnings information, and to ensure fairness, we will observe quiet periods prior to quarterly and annual earnings announcements. Regular quiet periods will commence on the same day of the previous month as the announcement day, and end on the day of the earnings announcements disclosing the results for the quarter or the year just ended. During quiet periods, we will refrain from making comments or responding to inquiries about the earnings results. If, however, any material fact which is subject to the timely disclosure rules arises during a quiet period, we will promptly disclose the information. During such periods, we will also respond to inquiries concerning historical information that is publicly available.

Forward-looking Statements

Forward-looking statements posted on this website, including statements about plans and strategies concerning the Group’s future performance, are made based on information available at the time. These statements are neither statements of historical fact nor the Group’s guarantees or assurances of future performance, and they involve a number of risks, uncertainties and other factors that are difficult to predict and could cause actual results to differ materially from those expressed or implied. These factors include, without limitation, changes in Japan’s economic conditions, trends in the stock market and IT services industry, as well as new services and technological developments. Given these risks and uncertainties, we caution you not to place undue reliance on any of these forward-looking statements.
